RallyCompute Research Preview Terms

These Research Preview Terms (the "Terms") are a binding agreement between you and Ishan Anand, the individual operator of the RallyCompute research preview ("RallyCompute," "we," "us," or "our"). They govern your access to and use of RallyCompute's websites, browser application, distributed-computing rooms, model downloads, and related services (the "Service").

By creating an account, accepting these Terms, or using the Service, you agree to these Terms and acknowledge the Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility and availability

You must be at least 18 years old and legally able to enter into these Terms. The research preview is offered only to users in the United States. You may not use the Service if applicable law, including export-control or sanctions law, prohibits you from doing so.

2. Experimental research preview

RallyCompute combines participating computers to run artificial-intelligence models in users' browsers. The Service is experimental and may be incomplete, inaccurate, insecure, unavailable, or changed or discontinued without notice. Distributed computations may fail, produce inconsistent results, consume substantial resources, or modify local files when you approve a coding change. Do not use the Service for production-critical, safety-critical, or high-risk purposes.

We may establish or change limits on accounts, rooms, participants, models, storage, downloads, compute time, and other features. The preview is currently free. You remain responsible for the costs of your devices, network, electricity, storage, and third-party services.

3. Accounts, rooms, and device resources

Provide accurate account information and protect your credentials, devices, browser profile, and invitation links. Contact support@rallycompute.ai if you suspect unauthorized access.

Room owners control membership and certain room settings. Other participants are independent users, not RallyCompute personnel. Only join rooms whose participants you trust. When you join a room, your display name, machine name, role, session and capacity information, connection status, public IP address or related network information, and computation data may be disclosed to connected participants as needed to operate the room. Your email address is not intentionally shown to other participants.

By connecting as a coordinator or worker, you authorize the Service to use the device's available CPU, GPU, memory, browser storage, bandwidth, and electricity until you disconnect, leave, close the relevant browser session, or the session expires. This may cause heat, fan use, battery drain, data usage, hardware load, and large downloads. You represent that you own the device or have the owner's informed permission. Participation does not entitle you to compensation.

4. Content, local files, and output

"User Content" includes prompts, instructions, files, code, text, data, room names, feedback, and other material you submit or process. You retain your rights in User Content. You grant RallyCompute a non-exclusive, worldwide, royalty-free license to host, transmit, reproduce, format, and otherwise process User Content only as reasonably necessary to provide, secure, troubleshoot, and support the Service, comply with law, and enforce these Terms. This includes transmitting content and intermediate representations to participating devices for distributed processing.

You represent that you have the rights and permissions necessary to use and disclose User Content through the Service. The hosted room API does not intentionally retain or inspect prompt text, selected file contents, or generated output in the normal distributed-inference path, but participating devices process parts of the computation. Do not submit credentials, secrets, or information you are not authorized to expose to every relevant participant. The preview is not designed for regulated or highly sensitive information.

The coding workspace may read files you select, create snapshots, propose changes, and write changes you approve. Review every change, keep independent backups and version control, confirm the selected files, and test resulting code. We are not responsible for lost, overwritten, corrupted, insecure, or malfunctioning files or software.

AI output may be inaccurate, incomplete, offensive, insecure, outdated, non-unique, or unsuitable. You are responsible for evaluating it and deciding whether you may use it. Do not rely on the Service as professional advice or as a substitute for qualified human review.

5. Acceptable use

You may not use the Service to:

• violate law, sanctions, export controls, confidentiality duties, or another person's rights;
• harm or exploit a child, threaten or harass people, facilitate violence, or unlawfully discriminate;
• create or distribute malware, ransomware, phishing, credential theft, destructive code, or unauthorized surveillance;
• access, connect, probe, scan, or use devices, accounts, networks, or data without authorization;
• impersonate others, misrepresent who controls a device, or bypass access controls, technical limits, model licenses, or security measures;
• interfere with, overload, damage, reverse engineer, scrape, or automate access to the Service except where applicable law prohibits the restriction or we give written permission; or
• resell or commercially provide access to the research preview without written permission.

We may investigate suspected violations and restrict sessions, downloads, rooms, or accounts where reasonably necessary.

6. Models, software, feedback, and third parties

Model weights, runtimes, tokenizers, open-source components, and other third-party materials may have separate licenses and use restrictions. Those terms govern the relevant materials. Third-party services are governed by their own terms and privacy practices.

Except for User Content and third-party materials, RallyCompute and its licensors own the Service and its software, interfaces, design, documentation, names, and logos. We give you a limited, revocable, non-exclusive, non-transferable license to use the Service for its intended purpose while these Terms apply.

If you provide feedback, you grant us a worldwide, perpetual, irrevocable, transferable, sublicensable, royalty-free license to use it without restriction or compensation. This does not give us rights in prompts or workspace files merely because they pass through the Service.

7. Privacy, communications, and termination

The Privacy Policy explains how we process personal information. We may send messages needed for verification, security, support, room activity, and material Service or legal changes. During the free research preview, we may also send product updates and feedback requests consistent with the consent you provide at signup. You can ask us to stop nonessential messages at support@rallycompute.ai.

You may stop using the Service at any time and may request deletion of your account or associated personal information by emailing support@rallycompute.ai. Clearing local browser data is a separate action. We may modify, suspend, or discontinue the Service, and may suspend or terminate access for violations, risk, legal exposure, inactivity, or harm to the Service or others.

8. Disclaimers and limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE, MODELS, DOWNLOADS, OUTPUT, AND RELATED MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL EXPRESS OR IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, SECURITY, AVAILABILITY, AND QUIET ENJOYMENT. WE DO NOT WARRANT THAT THE SERVICE OR OUTPUT WILL BE ACCURATE, COMPLETE, UNINTERRUPTED, ERROR-FREE, SECURE, COMPATIBLE, OR FREE OF HARMFUL COMPONENTS; THAT COMPUTATIONS WILL COMPLETE; THAT PARTICIPANTS WILL ACT APPROPRIATELY; OR THAT FILES OR LOCAL DATA WILL NOT BE LOST OR CHANGED.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ISHAN ANAND, RALLYCOMPUTE, AND THEIR LICENSORS AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, BUSINESS, DATA, FILES, GOODWILL, DEVICE AVAILABILITY, OR COMPUTE CAPACITY. THEIR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM THE SERVICE OR THESE TERMS WILL NOT EXCEED US$100.

These limitations apply regardless of the theory of liability and even if a remedy fails of its essential purpose. They do not limit liability that cannot be limited by law.

To the maximum extent permitted by law, you will defend, indemnify, and hold harmless Ishan Anand, RallyCompute, and their licensors and service providers from third-party claims, liabilities, damages, losses, and reasonable legal fees arising from your User Content, misuse of the Service, rooms, participants, devices, violation of these Terms or law, or violation of another person's rights.

9. Individual arbitration and dispute resolution

Before starting formal proceedings, a party must send the other a written description of the dispute and requested relief and try in good faith for 30 days to resolve it. Send notices to support@rallycompute.ai or the mailing address below.

Except for the exceptions below, any dispute or claim arising from these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The arbitration may occur remotely or in King County, Washington. Your arbitration fees will not exceed the amount you would pay to file the claim in court, except where the arbitrator determines a claim was frivolous or brought for an improper purpose.

YOU AND RALLYCOMPUTE WAIVE THE RIGHT TO A JURY TRIAL AND AGREE TO BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY, NOT AS A PLAINTIFF OR CLASS MEMBER IN A CLASS, COLLECTIVE, CONSOLIDATED, MASS, OR REPRESENTATIVE ACTION OR ARBITRATION. The arbitrator may award relief only to the individual party seeking relief and only as necessary for that party's claim.

Either party may bring an eligible individual claim in small-claims court, seek urgent injunctive relief from a court, or ask a court to enforce an arbitration award. You may opt out of this arbitration agreement by emailing support@rallycompute.ai within 30 days after first accepting these Terms, with your name, account email, and a clear statement that you opt out.

Washington law governs these Terms, without regard to conflict-of-laws rules. If a claim is not subject to arbitration, or if you timely opt out, it must be brought exclusively in the state or federal courts located in King County, Washington, and each party consents to their jurisdiction and venue.

10. Changes and general terms

We may update these Terms by posting the revised version and changing the "Last updated" date. If a change materially affects your rights, we will provide additional notice and request acceptance where required. If you do not agree, stop using the Service.

These Terms and incorporated terms are the entire agreement about the Service. A failure to enforce a provision is not a waiver. If a provision is unenforceable, it will be modified only as much as necessary, and the rest remains effective. You may not assign these Terms without our written consent. We may assign them in connection with a transfer or reorganization of the Service. Sections that by their nature should survive termination will survive.
